1. Contract
1.1 General Terms
These Terms apply to all orders. For definition, orders are signed Purchase Orders or confirmation in writing of an Estimate being accepted. Receipt of order by you constitutes your acceptance that our conditions are the only conditions that apply to the contract. In addition, payment of your first invoice by you constitutes your acceptance of our terms and conditions.
1.2 Agreement and Relationship
Your agreement and business relationship are with Authenticity Digital Ltd for the term of your order and any hosting, maintenance, support, or ongoing work thereafter.
1.3 Estimates and Pricing
- Estimates must be signed off in writing.
- Orders are accepted subject to our right to adjust prices due to an increase in wages, taxation, production costs, or other reasonable increases.
- Estimations are only valid for 30 days, and all prices are exclusive of VAT.
1.4 Discounts and Payments
Any discounts are offered on the strict understanding that the accounts are paid for by the due date. We reserve the right to invoice for any such discounts on accounts which become overdue.
2. Project and Payment Terms
2.1 Payment Policy
- No credit terms are offered.
- Invoices are payable within 30 days of the dated invoice.
- Late payments will incur a 5% per month charge above the Bank of England base rate.
- In the event of late or missed payments, Authenticity Digital Ltd reserves the right to disable services without notice (hosting, email, or website).
- A £150 administration fee applies for reactivation of any services.
2.2 Accepted Payment Methods
- Payments are accepted via BACS, CHAPS transfer, or cash.
- Cheques are not accepted.
2.3 Invoice Disputes
- Clients must raise objections to invoices within 48 hours of the invoice date.
- Failure to do so will be deemed acceptance of the invoice.
2.4 Client Responsibilities
- Clients must supply Authenticity Digital Ltd with all necessary materials and information to provide the agreed services.
- All assets and content for a project must be supplied upfront.
- Delays in supplying necessary information may result in project delays, for which Authenticity Digital Ltd cannot be held responsible.

3. Ownership and Hosting
3.1 Ownership of Work
- Authenticity Digital Ltd retains ownership of all goods/designs/websites until full and final payment is received.
- Any deliverables not used in the final project remain the property of Authenticity Digital Ltd.
- The client owns the IP of the final designs and website once full payment has been made.
3.2 Project Start Date & Deadlines
- The official start date of an order is when the first payment clears.
- Estimated delivery dates are not guaranteed and may be affected by:
- Delays in the client providing content.
- Technical issues, employee sickness, or force majeure.
3.3 Support & Bug Fixing
- Authenticity Digital Ltd provides free bug fixes via email and phone for 14 days after delivery.
- After 14 days, any fixes or changes are chargeable at £85+VAT per hour.
4. Hosting & Domain Management
4.1 Hosting Agreement
- Websites are assumed to be hosted with Authenticity Digital Ltd, unless otherwise agreed in advance.
4.2 Domain Names
- If Authenticity Digital Ltd purchases a domain name, it can be transferred to the client upon request, except in cases of overdue accounts.
- If the client purchases the domain, they must manage their own DNS settings.
4.3 Termination of Hosting
- Termination must be provided in writing.
- Migration to another host incurs a £180+VAT admin fee.
- Authenticity Digital Ltd is not responsible for installation or functionality on third-party hosting providers.
4.4 Content Restrictions
- We maintain the right to refuse material that is:
- Offensive, abusive, indecent, defamatory, or obscene.
- In breach of confidence, copyright, privacy, or other legal rights.
5. General Terms
5.1 Contract Termination
- Either party can terminate the contract with 90 days’ written notice.
- Upon cancellation, the client is liable for all work completed up to that point.
5.2 Complaints Policy
- Complaints about printed goods must be made within 24 hours of receiving them.
- Other complaints must be raised in writing to the project manager.
5.3 Industry Exclusivity
- Authenticity Digital Ltd does not offer industry exclusivity unless specifically agreed upon.
5.4 Liability
- Authenticity Digital Ltd performs its work with reasonable skill and care.
- Liability for loss or damages is limited to the contract value.
- Authenticity Digital Ltd is not responsible for website downtime due to overdue accounts.
5.5 Changes to Terms & Conditions
- We reserve the right to update these Terms.
- Any updates will be communicated in writing.
5.6 Governing Law
- This contract is governed by English Law.
Changes to this Agreement
- Authenticity Digital Ltd may modify this agreement as required.
- 30 days’ notice will be given where possible.
- Modifications for new customers will be published on our website.
